1.1 About NEXIUM. NEXIUM is a community platform for financial education and access to third-party digital products/opportunities. Optional referral/affiliate participation may be available subject to these Terms.

1.2 Closed Membership; No Public Access. Website content and services are available exclusively to registered members of a closed user group. Registration is by invitation/recommendation from existing members.

1.3 Educational Purpose; No Financial Services. NEXIUM is not a financial services provider and does not offer investment advice or regulated financial services. All content is for educational purposes only. Any purchases occur directly with licensed third-party providers under their terms.

1.4 Agreement to Terms. By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

1.5 Changes to Terms. NEXIUM may modify these Terms at any time. Changes are effective upon posting or other reasonable notice. Continued use constitutes acceptance.

2.1 Internet Access. You are responsible for Internet access and any fees.

2.2 Age Requirement. Services are for individuals 18+. We do not knowingly collect data from minors.

2.3 One Account Rule. Each member may hold only one account. Shared or duplicate accounts are prohibited.

2.4 Mandatory KYC at Registration.

3.1 License and Materials. Site content (texts, images, software, trademarks, logos) is owned by NEXIUM or licensors and protected by IP laws. Use is limited to personal, private, non-commercial purposes. Any other use requires prior written consent.

3.2 Security Prohibitions. Do not access data not intended for you; attempt unauthorized access; probe/scan/test systems; breach security; or interfere with service (malware, flooding, etc.). We may investigate and cooperate with authorities.

3.3 Third-Party Rights. Do not upload or share materials that infringe others’ IP, privacy, or publicity rights without proper authorization.

3.4 No Misleading Claims. Do not publish false, exaggerated, or unverifiable claims—especially about earnings, commissions, or investment outcomes.

4.1 Educational-Only. Nothing on the Website is investment advice, an offer, or a solicitation.

4.2 Third-Party Products. If you choose to purchase third-party products, you do so directly with those providers under their licenses and terms. NEXIUM is not responsible for third-party content, performance, or compliance.

5.1 High Risk & Volatility. Opportunities discussed in educational content may involve high risk and volatility with potential for substantial or total loss in a short time.

5.2 No Earnings Guarantees. Any examples of profits/income/commissions (incl. for referrers/tipsters) are illustrative only and not guarantees.

5.3 Use Only Risk Capital. Participate only with funds you can afford to lose. Do not borrow or use essential savings. Seek independent professional advice where appropriate.

6.1 Scope. Referrers may only introduce prospects via their referral link. No advising, brokering, or additional intermediation is permitted.

6.2 Standards. Communications must be truthful and non-misleading; do not target minors, inexperienced or vulnerable persons; consider language and financial capacity.

6.3 Compliance. You alone are responsible for compliance with marketing, consumer, and data protection laws applicable to you.

6.4 Taxes. You are solely responsible for declaring and paying taxes on any commissions/income.

7.1 Brand Use. Using the NEXIUM name/logo on social media requires prior written permission.

7.2 No Public Links. Posting referral links or official NEXIUM website links publicly on social media is prohibited. Share links only via direct, personal contact.

7.3 Domains. Registering/using “NEXIUM” in domain names for opportunity-related sites is strictly prohibited.

7.4 Sanctions. Violations may result in immediate account blocking and liquidated damages of USD 10,000 per case, in addition to other remedies.

8.1 Passwords. Use strong, unique passwords and keep them confidential. You are responsible for all activity under your account.

8.2 No Compensation for Negligence. NEXIUM is not liable for theft or loss of funds due to user negligence or incorrect transactions (e.g., wrong recipient address).

9.1 Single Account. One account per member.

9.2 KYC at Onboarding & Ongoing. KYC is mandatory at registration and may be repeated. We may refuse access, suspend, or terminate accounts if KYC cannot be completed to our satisfaction.

9.3 Multiple Accounts / Evasion. If we determine you operate multiple accounts or attempt to evade KYC/AML controls, we may close all related accounts, refuse payouts, and forfeit accrued profits/commissions. You may be permanently blocked.

9.4 No Extra Compensation. No claim exists against NEXIUM for reimbursements or remuneration beyond the expressly agreed profits/commissions under these Terms.

9.5 Cooperation with Authorities. We may cooperate with law enforcement and supervisory authorities as required under Georgian law.

10.1 DEAL Packages.

10.2 Eligibility for DEAL 4. DEAL 4 is available only after a first purchase of DEAL 1, DEAL 2, or DEAL 3.

10.3 Referral Commissions.

11.1 “As Is/As Available.” The Website, content, and services are provided “as is” without warranties of any kind (including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or error-free operation).

11.2 No Uninterrupted Access. We do not warrant uninterrupted, secure, or error-free access, or that defects will be corrected or servers are virus-free.

11.3 Third-Party Sites. We are not responsible for third-party sites/services or their security, content, or availability.

11.4  Extent Permitted by Law. Where exclusions are restricted by law, they apply to the maximum extent permitted.

12.1 Limitation. To the fullest extent permitted by law, NEXIUM and its affiliates/licensors/contractors are not liable for indirect, special, incidental, consequential, punitive, or exemplary damages (including loss of profits, data, goodwill, or business interruption), even if advised of the possibility.

12.2 Cap. If any limitation is held invalid, NEXIUM’s total aggregate liability to you for all claims shall not exceed USD 100.

12.3 Indemnity. You agree to indemnify, defend, and hold harmless NEXIUM and its affiliates, officers, directors, employees, attorneys, and agents from claims, damages, costs, and expenses arising from (a) your breach of these Terms, (b) infringement of rights, or (c) your misconduct/negligence.

13.1 Governing Law. These Terms (and any non-contractual obligations) are governed by the laws of Georgia(excluding its conflict-of-laws rules).

13.2 Courts of Tbilisi. Subject to any mandatory arbitration agreement between the parties, you agree to the exclusive jurisdiction and venue of the competent courts in Tbilisi, Georgia for any injunctive or judicial relief related to access to or use of the Website.

13.3 Optional Arbitration. If both parties agree, disputes may be referred to binding arbitration seated in Tbilisi, Georgia, under rules agreed by the parties. To the fullest extent permitted by law, class or consolidated proceedings are not permitted.

13.4 Severability; Waiver. If any provision is invalid or unenforceable, the rest remains in force. No waiver is implied by delay or omission.

14.1 Acknowledgement. You confirm you are 18+, have read and understood these Terms, and—if needed—have translated them into your native language for full comprehension.

14.2 Confidentiality & Data Protection. You agree to keep internal information confidential and comply with data protection obligations, including regarding users you refer.

15.1 No Assignment. You may not assign rights/obligations without NEXIUM’s prior written consent.

15.2 Entire Agreement. These Terms, the Privacy Policy, and any bonus plan/package-specific terms constitute the entire agreement and supersede prior understandings.

15.3 Amendments. Side agreements must be in writing. NEXIUM may update these Terms per Section 1.5.
